THE PROCEDURE FOR INCORPORATING A HONG KONG COMPANY LIMITED BY SHARES

1)  Choose a company name;

2)  Conduct a name search to see if the intended company name is the same as the one already registered;

3)  Prepare the Memorandum and Articles of Association of the intended company;

4)  Prepare a Statutory Declaration of Compliance;

5)  Submit the application to the Companies Registry together with a covering letter;

6)  The Companies Registry approves and issues a Certificate of Incorporation;

7)  Apply to the Business Registration Office for the issue of the Business Registration Certificate;

8)  The incorporated company is ready to operate.

Note: The above process takes about two weeks to process.

Note: If the incorporated company is eligible to apply for the charitable institution under S.88 of the Inland Revenue Ordinance, then Business Registration Certificate shall not be required.
