THE PROCEDURE FOR REGISTERING AN OVERSEAS COMPANY

1.             Establish a place of business in Hong Kong;

2.             Prepare a certified copy of the instrument defining the company’s constitution;

3.             Prepare in the prescribed form particulars relating to the:

l     Directors and secretary;

l     Person(s) authorized to act on behalf of the company;

l     Principal place of business in Hong Kong and in the place of incorporation; and

l     Registered office in the place of incorporation.

4.             Prepare a Memorandum of Appointment/Power of Attorney authorizing the person(s) who shall act on behalf of the company

5.             Prepare a certified copy of the company’s Certificate of Incorporation (or its equivalent);

6.             Prepare a certified copy of the latest accounts of the company

7.             The Companies Registry shall issue a Certificate of Registration;

8.             Apply to the Business Registration Office for the issue of the Business Registration Certificate

9.             The incorporated company is ready to operate.

Note: The above process takes about three to four weeks to process.
